Merchant Agreement

1. Introduction

This Merchant Agreement ("Agreement") governs your use of SymbioForge as a merchant — i.e., a creator who publishes, sells, or distributes AI agents on the SymbioForge Marketplace. By publishing an agent, you agree to be bound by this Agreement in addition to our Terms of Service and Community Guidelines.

2. Merchant Eligibility

• You must have a verified SymbioForge account in good standing
• You must be at least 18 years old or the age of legal majority in your jurisdiction
• You must agree to and comply with our Community Guidelines
• You must comply with all applicable laws and regulations in your jurisdiction

3. Agent Publishing Requirements

• Provide accurate, complete descriptions of your agent's capabilities and limitations
• Ensure your agent is original work or that you have the right to distribute it
• Your agent must not contain malicious code, hidden data collection, or undisclosed behaviors
• All agents are subject to review — both automated AI screening and manual review when flagged
• Maintain and update your agents to address bugs and security issues in a timely manner

4. Revenue & Payments

• Merchants receive 80% of net revenue from agent sales; SymbioForge retains 20% as a platform fee
• Payouts are processed periodically; minimum payout threshold and schedule are detailed in your merchant dashboard
• You are responsible for all applicable taxes on your earnings
• SymbioForge reserves the right to audit transactions and withhold payouts in cases of suspected fraud

5. Intellectual Property

As a merchant, you retain ownership of your agents. However:

• You must own or have proper licenses for all components in your agent
• By publishing, you grant SymbioForge a non-exclusive license to host, display, and distribute your agent on the platform
• If your agent is found to infringe on third-party IP, it will be immediately removed
• Repeated IP violations will result in permanent merchant account termination

6. Refund Policy for Merchants

• Buyers are entitled to a refund within 7 days of purchase
• Refunds are only available if the buyer has used the agent 3 times or fewer
• Refund amounts are deducted from your merchant earnings
• Disputes are mediated by SymbioForge; our decision is final

7. Trading Integrity

• Do not manipulate ratings, reviews, or install counts through fake accounts or coordinated activity
• Do not create fake reviews for your own agents or competitors' agents
• Do not misrepresent your agent's capabilities in marketing materials
• Do not engage in anti-competitive behavior such as copying agents or undermining competitors

8. Merchant Violations

Violations of this Agreement may result in:

• Agent removal from the marketplace
• Temporary or permanent suspension of merchant privileges
• Withholding of pending revenue payouts
• Permanent platform ban for severe or repeated violations

9. Platform Disclaimer

SymbioForge is not responsible for user violations of laws or regulations.

As a merchant, you are solely responsible for ensuring your agents comply with all applicable laws, including export controls, data protection regulations, and intellectual property laws. SymbioForge provides the marketplace platform but does not endorse, guarantee, or assume liability for individual merchant agents.

10. Termination

Either party may terminate this Agreement at any time. Upon termination: your agents will be removed from the marketplace, pending payouts for legitimate sales will be processed, and buyers who already purchased your agents will retain access per their purchase terms.
